Terms of Service

To use the Services, you must:

• Be at least 18 years old.
• Provide accurate and complete registration information.
• Maintain the security of your account credentials.
• Notify us promptly of any unauthorized access.

You are responsible for all activity under your account.

You may use the Services only in compliance with these Terms and all applicable laws.

You agree not to:

• Reverse engineer, decompile, or attempt to access the source code of the Services.
• Interfere with or disrupt the operation of the Services.
• Use the Services for unlawful, infringing, fraudulent, or harmful purposes.
• Misuse or abuse the platform, APIs, or integrations.
• Use phone or SMS workflows without obtaining all required rights, notices, and consents.

You are responsible for compliance with all applicable communications, privacy, and telemarketing laws in your use of the Services, including rules governing calls, text messages, consent, and opt-out handling.

Some features require payment of subscription fees. Payments are processed securely through Stripe. By subscribing, you authorize BidYard to charge your payment method according to your selected plan and billing cycle.

All fees are in U.S. dollars and non-refundable except as required by law.

We may change pricing or plans with prior notice. Continued use of the Services after changes take effect constitutes acceptance.

You may choose to connect the Services with third-party platforms (e.g., Salesforce, ServiceTitan). By doing so, you grant us permission to transmit data to and from those services as configured by you. You are responsible for ensuring that such data sharing complies with applicable laws and your agreements with those third parties.

BidYard is not responsible for the acts or omissions of third-party services.

Certain features (including warm transfer workflows) may rely on third-party telephony and messaging providers. By enabling these features, you authorize BidYard and its providers to place operational calls and send operational text messages to the phone numbers you configure for lead delivery, routing, and transfer workflows.

• You represent and warrant that you have all necessary rights and consents to provide contact data and to initiate call/text workflows through the Services.
• You must honor revocations of consent and opt-out requests, and keep your destination and contact data accurate.
• Message and data rates may apply based on carrier or recipient plans.
• You are responsible for determining whether your use case requires additional disclosures, consent records, or retention controls.

All rights, title, and interest in and to the Services, including software, content, and trademarks, are owned by BidYard or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription period.

You retain ownership of any data you provide or process through the Services.

You may terminate your account at any time through your account settings. We may suspend or terminate your access if you violate these Terms or if your subscription lapses.

Upon termination:

• Your access will cease immediately.
• We will retain your data for 90 days, after which it will be deleted unless required by law.

The Services are provided "as is" and "as available."
We make no warranties or guarantees of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, or non-infringement.

We use reasonable efforts to keep the Services available and secure but do not guarantee uninterrupted or error-free operation.

To the fullest extent permitted by law:

• BidYard shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

You agree to indemnify and hold harmless BidYard, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

These Terms are governed by U.S. federal law and the laws of the State of Oklahoma, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Oklahoma for any disputes.

We may update these Terms periodically. We will post the updated version with the "Last Updated" date. Continued use of the Services after changes take effect constitutes acceptance of the new Terms.
